1. Scope of Application
1.1
These General Terms and Conditions of Sale (“GTCS”) apply to all deliveries and other services (“Services”) provided by ANP-SYSTEMS GmbH Germany (“ANP”) to entrepreneurs, in particular merchants, legal entities under public law, and special funds under public law (hereinafter referred to as the “Customer”).
1.2
Any offer, order acceptance, or order confirmation issued by ANP, as well as any agreement regarding the remunerated performance of Services by ANP, shall be governed by these GTCS. These provisions shall also form the basis for all future individual transactions of a similar nature between ANP and the Customer. However, any individual agreements concluded with the Customer regarding specific provisions of these GTCS or their exclusion (including ancillary agreements, supplements, and amendments) shall prevail over these GTCS to the extent of the deviating agreement. Subject to proof to the contrary, a written agreement or written confirmation issued by ANP shall be decisive for the content of such agreements. This shall also apply in particular to verbal agreements made by employees and/or representatives of ANP with the Customer that contradict these GTCS.
1.3
Any purchasing conditions of the Customer that conflict with, deviate from, or supplement these GTCS are hereby expressly rejected unless their validity has been expressly acknowledged by ANP in writing. The execution of the contract shall not be interpreted as a waiver of this objection by ANP. This objection shall also apply if the Customer has specified a particular form for objections. If the Customer’s purchasing conditions exclude such objection, the statutory provisions shall replace the conflicting provisions of the purchasing and sales conditions.
1.4
References to statutory provisions are for clarification purposes only. Even without such clarification, the statutory provisions shall therefore apply insofar as they are not directly amended or expressly excluded in these GTCS.
2. Conclusion of Contract
2.1
Offers made by ANP are non-binding and subject to change unless they are expressly designated in writing as binding or contain a specific acceptance period. Information contained in brochures, catalogues, technical documentation (e.g. drawings, plans, calculations, cost estimates), other product descriptions, or documents constitutes industry-standard approximate values and is always non-binding unless expressly designated by ANP as binding. If the Customer accepts a binding offer late or with extensions, restrictions, or other amendments, Section 2.3 shall apply.
2.2
ANP reserves ownership and all usage rights to offers and quotations submitted by it, as well as to drawings, illustrations, calculations, brochures, catalogues, models, tools, and other documents and aids made available to the Customer. The Customer may neither disclose nor make these items or their content available to third parties, nor use or reproduce them itself or through third parties, without the express consent of ANP. Upon request by ANP, the Customer shall return these items in full and destroy any copies made if they are no longer required in the ordinary course of business or if negotiations do not result in the conclusion of a contract. Excluded from this is the storage of electronically provided data for customary data backup purposes.
2.3
An order placed by the Customer shall constitute a binding contractual offer. Unless expressly stated otherwise, ANP may accept contractual offers within fourteen days of receipt. A contractual relationship shall only come into existence if ANP expressly declares acceptance of the offer to the Customer. The scope of Services shall be determined by the content of this declaration of acceptance. Silence on the part of ANP in response to an offer by the Customer shall not constitute acceptance. The same shall apply to commercial confirmations transmitted electronically by the Customer unless electronic communication has been agreed upon for the business relationship and the transmission has been made to the address expressly designated for receipt of such declarations. ANP’s declaration of acceptance must be made in writing. This shall also apply to ancillary agreements, supplements, and amendments to the contract. Transmission by telecommunication, in particular by email or fax, shall suffice to satisfy the written form requirement, provided that a copy of the signed declaration is transmitted, whereby a handwritten signature is not required. The Customer shall be responsible for the accuracy of the order.
2.4
Statements regarding suitability for use and application, as well as references to DIN standards or other standards, constitute descriptions of quality and not guarantees regarding the quality of the goods or that the goods will retain a certain quality for a certain period of time unless expressly designated as such in writing. In the case of sales based on Incoterms contractual formulas, the ICC Incoterms valid at the time of contract conclusion shall apply.
2.5
Legally relevant declarations and notifications relating to the execution of the contract must be made in writing, i.e. in written or text form (e.g. letter, email, fax), without prejudice to statutory formal requirements.
2.6
Contract amendments or adjustments, in particular cancellations or postponements of delivery schedules, shall only be possible by mutual agreement and must take into account any resulting transfer of risks and costs. Any resulting costs and disadvantages shall be borne by the Customer unless otherwise agreed.
2.7
Unless otherwise agreed, indefinite-term contracts may be terminated with six months’ notice.
3. Subject Matter of Services
3.1
The subject matter, quantity, and quality of ANP’s Services shall be determined by the respective contractual agreements with the Customer. Unless expressly agreed otherwise, deviations due to production processes regarding dimensions, quality, weights, technical characteristics, and specifications within customary industry tolerances or within the tolerance limits specified in the applicable technical standards shall be permissible. Delivery of short lengths shall be permitted.
3.2
Unless expressly agreed otherwise, customary practice includes partial deliveries and excess or short deliveries of up to 15% of the individual orders placed. Weights shall be determined using calibrated scales of ANP and shall be decisive for invoicing. Proof of weight shall be provided by presentation of the weighing protocol. Unless individual weighing is customary, the total weight of the shipment shall apply. Differences compared to calculated individual weights shall be allocated proportionally.
3.3
Unless otherwise contractually agreed, ANP does not guarantee the suitability of the Services for specific purposes, and the Customer shall bear the full risk regarding the intended use and suitability, including intended purposes disclosed to ANP.
3.4
DIN EN ISO 9443 shall apply to the delivery of hot-rolled bar steel. According to Section 4.2 “Designation” of this standard, requirements regarding surface condition must be specified when placing the order. Due to the technical limitations of the manufacturing process and the applicable testing procedures for bar steel, the permissible proportion of defective products within the entire delivery unit must be specified.
If neither the order nor the applicable specification or agreement contains such a specification, ANP confirms that material ordered as 100% crack-tested shall be supplied as “technically crack-free”.
For hot-rolled, 100% crack-tested bar steel, the defective proportion of a delivery lot (minimum 5 tonnes) may not exceed 1000 ppm.
3.5
DIN EN 10277-1 shall apply to the delivery of bright steel. Surface quality classes are specified therein. If the order or applicable specification contains wording such as “the bright steel must be crack-free” or “no surface defects permitted”, ANP confirms surface quality class 4 according to DIN EN 10277-1 as “technically crack-free according to manufacturing standards”.
If 100% crack-tested material is ordered, the defective proportion of a delivery lot (minimum 5 tonnes) for bright steel may not exceed 500 ppm.
3.6
The inclusion of inspection certificates requires agreement in text form.
4. Delivery Times
4.1
Delivery times specified by ANP are approximate only unless expressly agreed as binding.
4.2
If the Customer fails to fulfil contractual obligations in due time, ANP shall be entitled to extend delivery times accordingly.
4.3
Compliance with delivery times shall be determined by the time at which the contractual goods are made available for collection at the Place of Performance.
4.4
In the case of approximate delivery times, delays shall not entitle the Customer to claim damages.
4.5
All delivery times are subject to force majeure and other unforeseeable circumstances beyond ANP’s control, including strikes, lockouts, operational disruptions, shortages of raw materials, or energy supply interruptions.
4.6
Performance by ANP shall only take place if the Customer’s order volume is covered by credit insurance from a recognised credit insurer; otherwise advance payment shall apply.
5. Prices
5.1
The purchase price shall be the price accepted by ANP plus packaging, transport, toll charges, and any individually agreed price components valid on the delivery date.
5.2
In the case of contracts exceeding twelve months or indefinite contracts, significant changes in labour, material, or other costs shall entitle either party to request an appropriate price adjustment.
6. Terms of Payment
6.1
Payments must be made in such a way that ANP can dispose of the amount on the due date. Payment transaction costs shall be borne by the Customer.
6.2
Unless otherwise agreed, invoices shall be payable within ten days from the invoice date without deduction.
6.3
Payments shall only be made to the bank account specified in the invoice. Payment by cheque or bill of exchange shall not constitute fulfilment.
6.4
If payment terms are not complied with, ANP shall be entitled to revoke agreed advance performance, demand advance payments, withdraw from the contract, or reclaim delivered goods.
7. Delivery, Shipment and Transfer of Risk
7.1
Unless otherwise agreed, deliveries shall be made FCA Means of Transport D-86405 Meitingen according to ICC Incoterms 2020.
7.2
Alternative shipping methods shall be at the Customer’s cost and risk.
7.3
Unloading shall always be the responsibility and risk of the Customer.
7.4
Goods notified as ready for dispatch must be called off immediately.
7.5
Risk shall pass to the Customer upon handover to the carrier or upon leaving ANP’s premises.
8. Long-Term Contracts, Delivery Schedules and Quantities
8.1
For long-term contracts, binding delivery schedules must be communicated at least four months before delivery.
8.2
If no monthly quantities are agreed, the Customer shall purchase quantities proportionally over the contract period.
9. Extended Retention of Title
9.1
Delivered goods shall remain the property of ANP until all claims arising from the business relationship have been fulfilled.
9.2
Processing and transformation of retained goods shall be carried out for ANP as manufacturer.
9.3
ANP shall acquire co-ownership in newly created products proportionate to the invoice value of the retained goods.
9.4
The Customer may only resell retained goods in the ordinary course of business.
9.5
Claims arising from resale shall be assigned to ANP.
9.6
The assignment shall apply proportionately where retained goods are resold together with other goods.
9.7
The Customer may collect claims unless ANP revokes this authorisation.
9.8
The Customer must notify ANP immediately of any seizure or interference by third parties.
9.9
Equivalent security rights shall apply for deliveries to foreign jurisdictions.
9.10
ANP shall release securities if their value exceeds secured claims by more than 50%.
10. Warranty
10.1
The agreed quality shall determine the contractual condition of the goods.
10.2
The Customer bears the full risk regarding intended use.
10.3
Goods must be inspected immediately after delivery.
10.4
Before installation or processing, the Customer must inspect the goods appropriately.
10.5
In the event of justified defects, ANP may choose between repair or replacement delivery.
10.6
ANP may refuse supplementary performance if costs are disproportionate.
10.7
Further claims shall be governed by Section 11.
10.8
No warranty claims shall exist for downgraded material regarding known defects.
10.9
Complaints regarding defects identifiable during acceptance are excluded after acceptance.
10.10
Not all inclusions or internal defects are detectable according to the current state of technology.
11. Liability and Limitation
11.1
ANP shall only be liable for damages in cases of intent or gross negligence.
11.2
This limitation shall also apply to pre-contractual liability.
11.3
Liability limitations shall not apply in the event of breach of essential contractual obligations.
11.4
In cases of simple negligence, liability shall be limited to EUR 5,000,000.
11.5
Liability limitations shall not apply to injury to life, body, health, or mandatory product liability.
11.6
The burden of proof rules shall remain unaffected.
11.7
Technical advice provided outside the agreed scope of Services shall be non-binding and free of charge.
11.8
Claims shall become time-barred one year after delivery unless longer statutory periods apply.
12. Proof of Export
Customers exporting goods outside Germany must provide ANP with the required proof of export for tax purposes.
13. Export Control
The Customer shall comply with all applicable export control and sanctions regulations.
14. Additional Conditions for Processing Orders
14.1
The Customer shall provide materials and technical documentation at its own expense.
14.2
Materials must be free from defects and suitable for processing.
14.3
Additional costs caused by unsuitable materials shall be charged separately.
14.4
ANP shall carefully perform the agreed work but shall not be liable for defects caused by the supplied material.
14.5
Scrap and waste materials shall become the property of ANP unless otherwise agreed.
15. Data Protection
ANP may process personal data for creditworthiness assessments in accordance with applicable data protection laws.
16. Jurisdiction and Applicable Law
16.1
Exclusive place of jurisdiction shall be Augsburg, Germany.
16.2
These GTCS shall be governed by the laws of the Federal Republic of Germany, excluding CISG.
16.3
If any provision is invalid, the remaining provisions shall remain unaffected.
16.4
The German version of these GTCS shall prevail.

These General Terms and Conditions of Purchase (“GTCP”) shall apply to all business relationships concerning deliveries and other services (“Services”) between the supplier or service provider (“Contractor”) and ANP-SYSTEMS GmbH Germany (“ANP”), provided that the Contractor is a natural or legal person or a partnership with legal capacity acting in the exercise of its commercial or independent professional activity upon conclusion of the legal transaction.
1.2
Any order, acceptance of quotation, or order confirmation issued by ANP, as well as any contract regarding the remunerated performance of Services by the Contractor, shall be governed by these GTCP. These provisions shall also form the basis for all future individual transactions of a similar nature between ANP and the Contractor. However, any deviating agreements made individually with the Contractor regarding specific provisions of these GTCP or their exclusion (including ancillary agreements, supplements, and amendments) shall prevail over these GTCP to the extent of the deviating agreement. Subject to proof to the contrary, a written agreement or written confirmation issued by ANP shall be decisive for the content of such agreements. This shall also apply in particular to verbal agreements made by employees and/or representatives of ANP with the Contractor that contradict these GTCP.

Any terms and conditions of sale of the Contractor that conflict with, deviate from, or supplement these GTCP are hereby expressly rejected unless their validity has been expressly acknowledged by ANP in writing. If the Contractor’s terms and conditions of sale exclude such objection, the statutory provisions shall replace the conflicting provisions of the purchasing and sales conditions.

If the Contractor does not accept an Order without a specified acceptance period within two weeks of receipt, either in writing or through unconditional performance of the Service, ANP shall be entitled to revoke the Order. Delivery schedules within the framework of order and call-off planning shall become binding unless the Contractor objects within two working days of receipt. If the Contractor accepts an Order late or with extensions, restrictions, or other amendments, Section 2.3 shall apply.
2.2

ANP may accept contractual offers made by the Contractor within thirty days of receipt unless a different acceptance period has been expressly stated. A contractual relationship shall only come into existence if ANP expressly declares acceptance of the offer to the Contractor (“Declaration of Acceptance”). The scope of Services shall be determined by the content of this Declaration of Acceptance or the Order. Silence on the part of ANP in response to an offer by the Contractor shall not constitute acceptance. The same shall apply to commercial confirmations transmitted electronically by the Contractor unless electronic communication has been agreed upon for the business relationship and the transmission has been made to the address expressly designated for receipt of such declarations. ANP’s Declaration of Acceptance must be made in writing. This shall also apply to ancillary agreements, supplements, and amendments to the contract; Section 1.2 sentences 4 and 5 shall apply accordingly. For purchases based on Incoterms contractual formulas, the ICC Incoterms valid at the time of contract conclusion shall apply.
2.4
In its quotation, the Contractor shall expressly indicate any deviations from ANP’s Request and shall additionally offer alternatives that are technically or economically more advantageous compared to the Request. With each quotation submitted, the Contractor undertakes, in view of its professional expertise, to independently review the specifications and requirements of the Service for completeness, consistency, errors, and inaccuracies (e.g. typing or calculation errors), taking into account the communicated or recognisable intended use and other information provided by ANP, and to notify ANP immediately and in writing of any reservations, concerns, or limitations relating to the Service before or at the latest upon submission of the quotation.
2.5
Transmission by telecommunication, in particular by email or fax, shall suffice to satisfy the written form requirement, provided that a copy of the signed declaration is transmitted, whereby a handwritten signature is not required. Legally relevant declarations and notifications relating to the execution of the contract (e.g. delivery call-offs, setting of deadlines, reminders, withdrawal) must be made in writing, i.e. in written or text form (e.g. letter, email, fax), without prejudice to statutory formal requirements.
2.6
For services and work performance, the supplementary Special Purchasing Conditions for Services / Work Performance of ANP shall additionally apply.
3. Performance
3.1
The Contractor shall comply with the agreed performance periods (delivery date or delivery period); “period” refers to a defined or at least determinable timeframe, while “date” refers to a specific point in time. For deliveries of goods, compliance with the performance period shall depend on delivery of defect-free goods with the required shipping documents during normal business hours to the location specified in the contract (“Place of Performance”). If delivery including assembly/service has been agreed, proper completion of assembly/service and handover of the defect-free goods shall be decisive for compliance with the performance period. Where acceptance is legally required or contractually agreed, the time of acceptance shall be decisive. Early deliveries or partial, short, or excess deliveries/services require the prior written consent of ANP; otherwise, ANP shall be entitled to reject them at the Contractor’s expense and cost.
3.2
Unless otherwise agreed, deliveries of goods shall be made to ANP “DAP” or, in the case of cross-border deliveries, “DDP” according to the currently applicable INCOTERMS to the Place of Performance. For work or other services, these clauses shall apply accordingly. If no Place of Performance is specified and nothing else has been agreed, the Service shall be performed at the registered office of ANP. The applicable safety regulations must be observed on ANP’s premises. The respective Place of Performance shall also be the place of fulfilment (obligation to deliver). Delivery/performance at a location other than the receiving location specified by ANP shall not result in transfer of risk to ANP, even if the delivery/performance is accepted there. The Contractor shall bear any additional costs arising from delivery/performance at a location other than the agreed receiving location.

3. Performance
3.1
The Contractor shall comply with the agreed performance periods. For deliveries of goods, compliance with the performance period shall depend on delivery of defect-free goods with the required shipping documents during normal business hours to the specified Place of Performance. Early deliveries or partial, short, or excess deliveries/services require the prior written consent of ANP.
3.2
Unless otherwise agreed, deliveries of goods shall be made to ANP “DAP” or, in the case of cross-border deliveries, “DDP” according to the currently applicable INCOTERMS to the Place of Performance. The respective Place of Performance shall also be the place of fulfilment. The Contractor shall bear any additional costs arising from delivery/performance at a location other than the agreed receiving location.
3.3
If agreed performance periods are not met, the statutory provisions shall apply. ANP shall in particular be entitled, after expiry of a reasonable grace period, to claim damages in lieu of performance.
3.4
Unconditional acceptance of delayed performance shall not constitute a waiver of ANP’s claims arising from delayed delivery or performance.
3.5
Unless proven otherwise, quantities, weights, and dimensions determined by ANP during incoming goods inspection shall prevail.
3.6
The scope of Services includes, among other things:
- transfer of ownership of all technical documentation and other documents required for reproduction, maintenance, and operation;
- transfer of all rights of use required for utilisation of the Services by ANP or third parties;
- ANP’s unrestricted right to carry out repairs, modifications, or manufacture spare parts itself or through third parties.
4. Quality, Environment, Energy
4.1
The Contractor shall implement and maintain effective quality assurance and provide evidence thereof upon request by ANP. ANP shall be entitled to verify the effectiveness of the quality assurance and environmental management systems itself or through commissioned third parties.
4.2
The Contractor shall ensure compliance with all statutory and safety-related requirements for hazardous substances and comply with all obligations arising from the REACH Regulation.
4.3
The Contractor acknowledges ANP’s environmental and energy policy and shall take it into account within the scope of the contractual relationship.
5. Retention of Title
Upon handover of the contractual goods to ANP, ownership shall transfer to ANP unconditionally and irrespective of payment of the purchase price. Extended or prolonged retention of title by the Contractor is excluded.
6. Prices, Payments, Retention Rights
6.1
The agreed price shall be binding and fixed, including all Services and ancillary costs such as packaging, customs duties, import charges, transport costs, and insurance unless otherwise agreed in writing.
6.2
Payments shall only be made against proper invoices. Unless otherwise agreed, payment shall be made within thirty days with a 2% discount or within sixty days net following receipt of the auditable invoice and proper fulfilment of the contract.
6.3
ANP shall not owe maturity interest. Default interest shall amount to five percentage points above the base interest rate annually.
6.4
The Contractor shall only be entitled to rights of retention based on legally established or undisputed counterclaims.
7. Notice of Defects
7.1
Unless otherwise agreed in a quality assurance agreement, goods shall be inspected after receipt by ANP to the extent reasonable and technically feasible.
7.2
Defects shall be notified by ANP immediately upon discovery, whereby a minimum period of ten working days shall apply for timely notification.
7.3
The Contractor waives the objection of delayed notice of defects.
8. Warranty Claims and Liability for Defects
8.1
The Contractor warrants that the Services comply with the agreed specifications and fulfil the intended purpose.
8.2
ANP shall have the right to choose the type of supplementary performance.
8.3
In urgent cases, ANP shall be entitled to remedy defects itself or through third parties at the Contractor’s expense.
8.4
The Contractor shall bear all expenses necessary for supplementary performance, including transport, labour, installation, dismantling, and material costs.
8.5
Claims for material defects shall become time-barred after three years unless longer statutory limitation periods apply.
8.6
If the Contractor fulfils its obligation by replacement delivery, the limitation period shall recommence for the replacement goods.
8.7
The Contractor shall indemnify ANP against third-party claims arising from infringement of third-party rights.
8.8
Claims arising from defects in title and indemnification claims shall become time-barred after three years.
8.9
Reference market procedures customary in the automotive industry shall apply accordingly between Contractor and ANP.
9. Product Liability and Recall
9.1
If ANP is held liable under product liability law, the Contractor shall indemnify ANP insofar as the damage was caused by defects in the contractual goods supplied by the Contractor.
9.2
The Contractor shall bear all related costs and maintain product liability insurance with coverage of at least EUR 5 million.
9.3
Statutory provisions shall otherwise apply.
9.4
Before initiating a recall action, ANP shall inform the Contractor and provide the opportunity for participation unless urgency prevents this.
10. Termination; Force Majeure
10.1
ANP shall be entitled to terminate the contract in whole or in part at any time.
10.2
ANP shall also be entitled to terminate if insolvency proceedings are initiated against the Contractor.
10.3
Statutory rights and claims shall remain unaffected.
10.4
Force majeure and unavoidable events shall release ANP from the obligation of timely acceptance for the duration of their occurrence.
11. Export Control and Customs
11.1
The Contractor shall inform ANP of any licensing requirements or restrictions relating to exports and customs regulations.
11.2
The Contractor shall provide binding information regarding the origin of goods and issue long-term supplier declarations where required.
11.3
The Contractor shall provide all necessary customs documents for cross-border deliveries.
11.4
The Contractor shall support ANP in minimising customs duties and clearance costs.
11.5
ANP shall be entitled to terminate the contract if the Contractor repeatedly fails to comply with export control obligations.
12. Materials Provided
12.1
Materials, parts, containers, special packaging, and tools provided by ANP shall remain the property of ANP.
12.2
The Contractor shall insure ANP-owned tools at replacement value against fire, water, and theft damage.
13. Advertising Ban, Confidentiality, Data Protection
13.1
Use of Requests, Orders, or related correspondence for advertising purposes requires ANP’s prior written consent.
13.2
The Contractor shall maintain confidentiality regarding all operational processes and documents of ANP and its customers.
13.3
ANP processes personal data in accordance with applicable data protection regulations.
14. Place of Performance, Jurisdiction, Applicable Law
14.1
Unless otherwise agreed, the Place of Performance shall be the location to which the goods are to be delivered or where the Service is to be performed.
14.2
Exclusive place of jurisdiction for all disputes shall be the location of ANP’s registered office.
14.3
These GTCP and all legal relationships shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules and the CISG.
14.4
Should any provision of these GTCP be or become invalid, the validity of the remaining provisions shall remain unaffected.
14.5
The German version of these GTCP shall prevail.

1. Work Performance
1.1 Contractor’s Performance
1.1.1
The Contractor shall owe the successful completion of the specifically commissioned work performance.
1.2 Acceptance and Transfer of Risk
1.2.1
The Contractor may only request acceptance of the complete performance once the performance is capable of acceptance and ready for acceptance. Readiness for acceptance exists when the contractually agreed work performance has been rendered completely and free of defects. Upon completion and in compliance with the deadlines specified in the scope of services, the Contractor shall request ANP-SYSTEMS GmbH Germany (“ANP”) as the Client to accept the performance.
1.2.2
Acceptance of the Contractor’s performance shall take place formally. ANP may refuse acceptance if a defect exists that is not insignificant. The Contractor may only request renewed acceptance once it has demonstrated that the defect has been remedied. Within the scope of supplementary performance, any dismantling and reinstallation costs shall also be borne by the Contractor.
1.2.3
Partial acceptances are excluded unless expressly agreed otherwise. Reviews and inspections of interim results as well as approval of milestone-based partial payments shall not constitute acceptance.
1.2.4
Acceptance shall not be replaced by the fact that ANP uses the performance or part of the performance due to operational necessities or continues to make payments.
1.2.5
The Contractor shall bear the risk for its contractual performance until formal acceptance by ANP. If the Contractor’s work, in whole or in part, is damaged or destroyed before acceptance due to force majeure, war, civil unrest, or other unavoidable circumstances for which the Contractor is not responsible, the Contractor’s claim to contractual remuneration shall cease.
1.2.6
Fictitious acceptance pursuant to Section 640 (2) German Civil Code (BGB) requires that the Contractor has transmitted the deadline for acceptance to ANP in text form and informed ANP, together with the request for acceptance, of the consequences of failing to declare acceptance or refusing acceptance without specifying defects.
1.3 Contract Term and Termination
1.3.1
During execution of the work performance, ANP may terminate the contract pursuant to Section 648 BGB. In the event of termination under Section 648 BGB, the Contractor shall be reimbursed for the necessary expenses already incurred plus follow-up costs, but not exceeding the agreed remuneration. The Contractor shall not be entitled to full remuneration. The Contractor shall be obliged to keep the reimbursable amounts as low as possible. If the Contractor is responsible for the termination, it shall not be entitled to reimbursement.
1.4 Miscellaneous Provisions
1.4.1
Unless otherwise stipulated, Sections 631 et seq. BGB shall apply additionally.
2. Services
2.1 Contractor’s Performance
2.1.1
The Contractor shall owe the provision of the specifically commissioned service.
2.2 Contract Term and Termination
2.2.1
The contract may be terminated in writing by either contracting party with three months’ notice to the end of a calendar quarter.
3. Common Provisions
3.1 Contractor’s Performance
3.1.1
The Contractor shall perform the contractually agreed Services independently and under its own responsibility. Only the Contractor shall have authority to issue instructions to its employees. The Contractor shall ensure that the personnel deployed by it are not integrated into ANP’s operations or those of an affiliated company of ANP.
3.1.2
Before commencement of performance, the Contractor shall designate to ANP a responsible contact person authorised to receive declarations on behalf of the Contractor. Communication within the contractual relationship, including regarding deployed personnel, shall take place exclusively through this designated contact person. Any change of contact person must be announced to ANP in due time. The Contractor shall deploy only qualified employees and provide evidence thereof upon request by ANP. In the event of repeated or serious misconduct by individual employees to the detriment of ANP, ANP may require the Contractor to refrain from using such employees. Any resulting additional expenses shall be borne by the Contractor. Furthermore, the Contractor undertakes not to employ for ANP any persons previously employed by ANP whose employment was terminated for personal or conduct-related reasons.
3.1.3
For Services performed within ANP facilities, the Contractor shall comply with the applicable safety regulations and information policies, which ANP shall provide upon request. Before commencement of work, the Contractor shall sign the “Declaration for External Companies” developed by ANP and ensure compliance therewith. When accessing ANP’s information and telecommunications systems, the Contractor shall strictly comply with applicable information security policies. The Contractor also undertakes to comply with any amended or additional policies provided by ANP unless compliance is unreasonable and the Contractor objects in writing without delay, stating the relevant reasons.
3.1.4
The Contractor shall not be authorised to represent ANP.
3.1.5
The Contractor shall inform ANP without being requested of any facts or changes thereto that could give rise to a suspicion of bogus self-employment.
3.2 Cooperation by ANP
3.2.1
ANP shall provide the required cooperation services in due time insofar as these have been contractually agreed.
3.2.2
ANP shall grant the Contractor the necessary access to its facilities upon prior coordination. Workspaces may be provided if the Contractor sufficiently demonstrates the necessity thereof. There shall be no entitlement to free provision. In principle, the Contractor shall perform the Services using its own equipment. If this is not possible due to the special requirements of the Services, ANP may provide the necessary equipment, provided that such equipment is not commercially obtainable by the Contractor and provision by ANP is possible and permissible.
3.2.3
ANP shall provide requested documents or information, if available, by the agreed dates. Failure to procure information or restrictions due to third-party rights shall not constitute insufficient cooperation.
3.2.4
The Contractor shall immediately notify ANP in writing of insufficient cooperation. Otherwise, ANP shall not be deemed in default and the Contractor may not invoke insufficient cooperation.
3.3 Changes in Performance and Additional Services
3.3.1
ANP may request changes to the contractual Services at any time. The Contractor may object to such changes if implementation would be unreasonable.
3.3.2
The Contractor shall submit a new written contractual offer for additional or extended Services. Additional Services may only be performed after conclusion of a separate agreement. Services rendered without fulfilment of these requirements shall not be remunerated. If no agreement is reached, ANP may terminate the contract extraordinarily with regard to the affected Services if continuation without the requested change is unreasonable.
3.4 Remuneration
3.4.1
Remuneration shall only be payable after complete performance unless otherwise agreed. Partial payments shall only be made after complete performance of the respective partial service.
3.4.2
The Contractor shall be bound by agreed remuneration caps, fixed prices, and workload estimates made before contract conclusion unless expressly designated as non-binding.
3.4.3
If a fixed price has been agreed, the Contractor shall perform the Services completely at the agreed price. Additional costs for complete performance shall be borne by the Contractor. Additional claims are excluded.
3.5 Rights to Work Results / Copyrights
3.5.1
All usage rights arising in connection with the execution of this contract relating to documentations, reports, charts, drawings, diagrams, images, films, data carriers for visual reproduction, storage media, etc. shall belong exclusively to ANP. The Contractor may retain one or more copies solely as proof of Services rendered. No further rights, in particular rights of reproduction or distribution, shall belong to the Contractor. Original material shall be handed over and, where legally possible, transferred to ANP.
3.5.2
ANP shall become the owner of all documents delivered and created by the Contractor within the framework of this contract insofar as legally possible. ANP shall receive an exclusive, irrevocable, transferable, unlimited right of use in terms of time, territory, and content for all types of use. This includes, in particular, the rights of reproduction, distribution, exhibition, presentation, performance, reproduction by image and sound carriers, as well as rights of editing and modification.
3.5.3
If pre-existing industrial property rights, copyrights, or unprotected know-how of the Contractor are used in fulfilment of this contract and are necessary for ANP’s use of the work result, ANP shall receive a non-exclusive right of use thereto. This includes all forms of use referred to under Sections 3.5.1 and 3.5.2.
3.5.4
The Contractor warrants that all Services rendered are free from third-party rights. If this is not the case, the Contractor must contractually ensure with the respective authors that the above transfer of rights is possible. The Contractor shall indemnify ANP against all third-party claims arising from infringements of rights relating to the Services rendered.
3.5.5
The Contractor shall immediately notify ANP of all inventions or other protectable results arising in connection with the Services rendered for ANP and provide all necessary information. All inventions shall be transferred to ANP. ANP reserves all rights concerning any subsequent intellectual property rights. The Contractor acknowledges that all rights to data, documents, storage media, etc., in particular ownership and copyrights, belong exclusively to ANP. If ANP has no interest in registering an invention for protection, the invention shall be reassigned to the Contractor, while ANP retains a non-exclusive right of use.
3.6 Contract Duration and Termination; Contractor’s Clearance Obligations
3.6.1
The contract shall have the duration agreed in the purchase agreement or individual contract.
3.6.2
The right of either party to terminate the contract for good cause shall remain unaffected. Good cause shall exist in particular if:
(i) execution of the contract is recognisably jeopardised due to insufficient performance capability of the Contractor;
(ii) facts become known that give rise to suspicion of bogus self-employment on the part of the Contractor; or
(iii) a status determination procedure under social security law determines that an employment relationship exists.
3.6.3
Upon termination of the contract, regardless of the reason, the Contractor shall immediately dismantle and remove its installations, tools, and equipment located at ANP’s premises at its own expense. Any waste and construction debris caused by the Contractor’s work shall also be removed and properly disposed of immediately at the Contractor’s expense. If the Contractor fails to fulfil these obligations, ANP may, after expiry of a reasonable deadline, carry out the work itself or commission a third party and charge the Contractor for the resulting costs.
3.7 Subcontractors
3.7.1
The Contractor may only transfer performance wholly or partly to subcontractors with ANP’s prior written consent.
3.7.2
ANP’s consent may be conditional and revocable. ANP shall in particular be entitled to revoke consent with immediate effect if a status determination procedure indicates that a dependent employment relationship exists with the subcontractor.
3.7.3
The Contractor shall impose corresponding confidentiality and data protection obligations on subcontractors.
3.7.4
The Contractor shall contractually ensure and demonstrate upon request that further subcontracting to sole proprietors or civil law partnerships is excluded under specified conditions.
3.7.5
The Contractor shall ensure compliance with these restrictions throughout the entire subcontractor chain.
3.7.6
The Contractor warrants compliance with statutory minimum wage requirements throughout the subcontractor chain and shall indemnify ANP against third-party claims arising from violations.
3.7.7
Upon request, the Contractor shall disclose all subcontractors engaged in fulfilling contractual obligations.
3.7.8
The Contractor shall be liable for the fault of subcontractors and vicarious agents as for its own fault.
3.7.9
Violation of the obligations under Sections 3.7.1–3.7.7 shall entitle ANP to terminate the contract without notice and claim damages.
3.8 Contractor’s Employees
3.8.1
Foreign employees requiring work permits may only be deployed if they are employees of the Contractor and possess valid residence and work permits applicable to the relevant place and period of work.
3.8.2
By signing its contractual declaration, the Contractor confirms that no investigations under the Posted Workers Act have been conducted against it or that such investigations were unsuccessful.
3.8.3
The Contractor undertakes to grant employees the statutory minimum wage and all required social security contributions in accordance with applicable laws and collective agreements.
3.8.4
The Contractor shall inform ANP if investigations are initiated against it concerning violations of employment or residence law or the Posted Workers Act.
3.8.5
Upon request by ANP, the Contractor shall oblige its employees to maintain data confidentiality in accordance with Section 53 BDSG and provide evidence thereof.
3.9 Personal Data
3.9.1
If ANP provides the Contractor with personal data of its employees during execution of the contract or the Contractor otherwise gains knowledge thereof, the following provisions shall apply.
3.9.2
Personal data disclosed in this way may only be processed for performance of the contract and may not be disclosed, analysed, or used for profiling purposes unless legally permissible.
3.9.3
The Contractor shall ensure that personal data are only accessible to employees involved in performance of the contract and only to the extent necessary. Appropriate technical and organisational measures shall be implemented to protect personal data against misuse and loss.
3.9.4
The Contractor shall acquire no rights to personal data and shall be obliged to correct, delete, or restrict processing thereof where legally required. Rights of retention relating to personal data are excluded.
3.9.5
In addition to statutory obligations, the Contractor shall notify ANP immediately, at the latest within 24 hours, of any personal data breach, especially in the event of loss. Upon termination of the contract, the Contractor shall delete all personal data, including copies, in accordance with statutory requirements.
3.10 Miscellaneous Provisions
3.10.1
All agreements concerning work or services shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law provisions and the CISG. Place of jurisdiction shall be Augsburg, Germany.
3.10.2
In all other respects, ANP’s General Terms and Conditions of Purchase (“GTCP”) shall apply. In the event of contradictions, these Special Terms and Conditions of Purchase for Services / Work Performance shall prevail over the GTCP.

ALLGEMEINE LIEFER- UND GESCHÄFTSBEDINGUNGEN (STAND: MÄRZ 2013)
1. Geltung:
Diese Allgemeinen Liefer- und Geschäftsbedingungen gelten für alle abgeschlossenen Verkaufsgeschäfte und damit zusammenhängende Lieferungen und Nachlieferungen zwischen der ANP – Systems GmbH, Elsbethen, im folgenden “ANP” genannt und deren jeweiligen Abnehmern, im folgenden “Kunde” genannt. Durch Auftragserteilung anerkennt der Kunde diese Allgemeinen Liefer- und Geschäftsbedingungen. Abweichungen von diesen Liefer- und Geschäftsbedingungen sind nur rechtswirksam, wenn sie durch eine schriftliche Erklärung von ANP ausdrücklich bestätigt werden. Einkaufsbedingungen von Kunden haben keine Gültigkeit, auch wenn ANP diesen nicht widersprochen hat.
2. Angebote und Vertragsabschluss:
Angebote von ANP, Preisangaben und Lieferfristen sind freibleibend und unverbindlich, sofern nicht ausdrücklich Gegenteiliges vereinbart wird. Die Bestellung des Kunden gilt als Angebot, welches von ANP innerhalb von 2 Wochen angenommen werden kann. Die Ankündigung der Lieferung gilt ebenso wie eine allfällige schriftliche Auftragsbestätigung als Annahme eines solchen Angebotes.
3. Preise und Verrechnung:
Angebots- und Verrechnungspreise verstehen sich netto, zzgl. gesetzlicher Mehrwertsteuer. Sofern nicht ausdrücklich Gegenteiliges vereinbart wird, gelten alle Preise ab Lager/Werk ausschließlich der Kosten für Verpackung, Rostschutz und Fracht. Für die Verrechnung gelten die Maße und Mengen der tatsächlichen Lieferung. Ist Lieferung mit Zustellung vereinbart, werden die Transportkosten gesondert verrechnet.
4. Lieferung:
ANP wird die angegebenen und zugesagten Lieferfristen nach Tunlichkeit und Möglichkeit einhalten. Ist dies nicht möglich, so steht dem Kunden nach Setzung einer angemessenen Nachfrist das Rücktrittsrecht vom Vertrag zu. Der Kunde verzichtet auf die Geltendmachung eines Schadenersatzanspruches aus dem Titel des Lieferverzuges.
In Fällen von Streiks oder Aussperrungen im Betrieb der ANP, oder in einem für ANP arbeitenden Betrieb, weiters bei Energiemangel, Verkehrsstörungen, behördlichen Verfügungen und nicht termingerechter Selbstbelieferung, sowie in allen Fällen höherer Gewalt ist ANP an vereinbarte Lieferfristen überhaupt nicht gebunden. In diesen Fällen verlängert sich die Lieferzeit um die Dauer der Behinderung und es kann weder Schadenersatz noch eine allfällige Vertragsstrafe verlangt werden. Wird durch diese Umstände die Lieferung oder Leistung unmöglich, so wird ANP von der Lieferungs- bzw. Leistungsverpflichtung befreit.
Im Falle des Übernahmeverzuges durch den Kunden ist ANP berechtigt, die Waren auf Kosten und Gefahr des Kunden einzulagern, die Ware zu verrechnen und das Entgelt vereinbarungsgemäß fällig zu stellen oder vom Vertrag zurückzutreten und die Ware anderwärtig zu verkaufen.
Lieferungen frei Empfängerort bedeutet ohne Abladen durch den Lieferer. Das Abladen hat sachgemäß und unverzüglich durch vom Kunden zur Verfügung zu stellende Arbeitsgeräte und Arbeitskräfte zu erfolgen. Die Gefahr geht in jedem Fall der Versendung bereits beim Verlassen des Werks auf den Kunde über.
5. Retourware und deren Vergütung:
Von ANP gelieferte Ware wird nur bei vorheriger schriftlicher Zustimmung und in tadellosem Zustand, bei frachtfreier Rücksendung zurückgenommen. Zurückgenommene Ware wird abzüglich Manipulationsgebühr in Höhe von 20 % gutgeschrieben.
6. Stornierung des Auftrages:
Bei vollem oder auch nur teilweisen Rücktritt des Kunden vom abgeschlossenen Vertrag gilt eine Stornogebühr von 20% als vereinbart. Nicht zum Wiederverkauf geeignete Sonderteile werden in vollem Umfang in Rechnung gestellt.
7. Zahlungen
Zahlungen sind sofort nach Rechnungserhalt und ohne Abzug fällig. Teillieferungen werden von ANP sofort berechnet. Sie sind damit unabhängig von der Beendigung der Gesamtlieferung fällig. Solange ältere fällige Rechnungen offen sind, sind sämtliche Zahlungen auf diese anzurechnen. Zahlungen werden zuerst auf die aufgelaufenen Zinsen, Kosten, Spesen und dann auf das Kapital angerechnet. Zahlungswidmungen sind für ANP nicht bindend.
Bei erkennbar schlechter Bonität des Kunden oder wenn der Kunde mit einer vereinbarten Zahlung im Verzug ist, so ist ANP berechtigt
a) die Erfüllung der eigenen Verpflichtung bis zur Bewirkung der rückständigen Zahlung aufzuschieben
b) die weitere Erfüllung des Auftrages von der Übergabe einer angemessenen Sicherstellung abhängig zu machen
c) bei Nichteinhaltung einer angemessenen Nachfrist vom Vertrag zurückzutreten.
Beanstandungen und allfällige Mängel heben die Zahlungsverpflichtungen des Kunden weder ganz noch teilweise auf. Der Kunde ist nicht berechtigt, gegen Ansprüche von ANP aufzurechnen, es sei denn, diese wären von ANP ausdrücklich anerkannt oder rechtskräftig gerichtlich festgestellt.
Der Abzug von Skonto bedarf einer besonderen ausdrücklichen Vereinbarung.
Für den Fall des Zahlungsverzuges gelten unternehmerische Verzugszinsen als vereinbart. Der Kunde hat auch alle Kosten von außergerichtlichen Betreibungsmaßnahmen zu ersetzen.
9. Eigentumsvorbehalt:
Bis zur vollständigen Bezahlung bleibt die von ANP gelieferte Ware Eigentum von ANP. Der vereinbarte Eigentumsvorbehalt dient zur Besicherung aller Forderungen von ANP gegenüber dem Kunden. ANP ist berechtigt, bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug, vom Vertrag zurückzutreten und die Ware herauszuverlangen. Der Kunde stimmt zu, dass ANP die Ware in diesem Fall vom Lagerplatz des Kunden oder von der Baustelle, auf der die Ware lagert, abholt.
Der Kunde ist berechtigt, die Ware im ordentlichen Geschäftsgang weiterzuveräußern oder zu verarbeiten und zu verbauen. Er tritt ANP bereits mit Vertragsabschluss alle Forderungen in Höhe des Rechnungsbetrages ab, die ihm durch die Weiterveräußerung gegen einen Dritten erwachsen und verpflichtet sich, einen entsprechenden Vermerk in seinen Büchern und auf seinen Fakturen anzubringen. Der Kunde tritt bei Verbauung und Verarbeitung seine Werklohnansprüche in Höhe des ANP geschuldeten Betrages gegenüber seinen eigenen Kunden an ANP ab.
Im Falle der Pfändung von unter Eigentumsvorbehalt stehenden Waren durch Gläubiger des Kunden hat dieser ANP sofort zu verständigen und für alle ANP entstehenden Kosten für die Freilassung dieser Waren von Rechten Dritter aufzukommen.
Im Falle der Eröffnung eines Insolvenzverfahrens über das Vermögen des Kunden oder im Falle des Zahlungsverzuges über mehr als 30 Tage seit Fälligkeit ist ANP berechtigt, die unter ihrem Eigentumsvorbehalt stehenden Waren beim Kunde abzuholen und unter analoger Anwendung der Bestimmungen über die Warenrückgabe zu verwerten. Nimmt ANP aufgrund des vorstehenden Eigentumsvorbehaltes gelieferte Waren zurück, so haftet der Kunde für jeden Mindererlös, der sich beim Weiterverkauf dieser Waren ergibt. Der Kunde hat die Kosten des Rück- und Weitertransportes zu ersetzen.
10. Gewährleistung und Haftung:
ANP leistet Gewähr für zugesicherte Eigenschaften und die Fehlerfreiheit der gelieferten Waren entsprechend dem Stand der Technik.
Die Ware ist bei Übernahme vom Kunde oder dessen Beauftragten nach Menge und Beschaffenheit zu zählen und zu überprüfen. Beanstandete Ware darf nicht verbaut oder sonst verwendet werden. ANP muss spätestens innerhalb von drei Tagen verständigt werden. Zur Beseitigung mit Recht und rechtzeitig gerügter Mängel der gelieferten Ware kann ANP innerhalb angemessener Frist entweder nach eigener Wahl Verbesserung bewirken, das Fehlende nachtragen oder Ersatz liefern. Weitergehende Ansprüche, insbesondere auf Aufhebung und Preisminderung, sind ausdrücklich ausgeschlossen. Die Gewährleistung erlischt mit Verarbeitung oder Veränderung des Liefergegenstandes durch den Kunden oder durch Dritte.
Alle Gewährleistungsansprüche erlöschen ausnahmslos 6 Monate nach Lieferung. Sie erlöschen weiters, wenn Verlegevorschriften, Merkblätter und technische Hinweise für den Einbau, die Behandlung und Verwendung nicht befolgt werden oder wenn sonst eine fehlerhafte Montage oder Weiterverarbeitung durch den Kunde oder Dritte erfolgt.
Der Kunde kann von ANP Schadenersatz nur bei vorsätzlichem oder grob fahrlässigem Handeln fordern. Eine Haftung für Mangelfolgeschäden wird überhaupt ausgeschlossen.
11. Erfüllungsort, Gerichtsstand und anwendbares Recht:
Erfüllungsort ist der Sitz von ANP in Elsbethen. Als Gerichtsstand wird 5020 Salzburg vereinbart. Es gilt österreichisches Recht.
12. Teilunwirksamkeit:
Sollten einzelne Bestimmungen dieser Verkaufs- und Lieferbedingungen ganz oder teilweise unwirksam sein, so bleiben die übrigen Bedingungen voll wirksam. Die betroffene Regelung ist geltungserhaltend zu reduzieren. Die Vereinbarung ist so zu ergänzen und so auszulegen, dass das von den Parteien gewollte Ergebnis weitestgehend erreicht wird.
